On September 6, 2021, the Competition Commission (the “Commission”) Initiated formal proceedings against the company MAT – Real Estate for possible gunfire. The operation concerned involves the acquisition of the company Radijator doo, a distributor of plumbing and heating equipment.
The Commission opened the investigation following the publication in the Serbian Agency of Business Registers of the sale of the target company in bankruptcy proceedings, while MAT – Real Estate was registered as new owner of the target company. As the acquirer belongs to the Matijević group of companies and on the basis of publicly available information on the turnover generated by the Matijević group worldwide and in Serbia, the Commission concluded that the merger filing thresholds were reached, making the merger filing mandatory for the acquirer.
If the Commission finds that there has been misappropriation of weapons, the Matijević group of companies could be fined up to 10% of the turnover achieved in the Republic of Serbia in the year preceding the opening. of the procedure. After evaluating the transaction, the Commission can also prohibit the merger, ie order the demerger.
This investigation is a continuation of the Commission’s efforts in the field of merger control, which has become increasingly active in the investigation and prosecution of possible non-notified mergers.
